These Terms and Conditions of Sale ("Terms") govern the sale of products and/orservices by TJW Designs ("Seller," "we," "us," or "our") to the customer ("Customer","you", or "your").

1. Acceptance of Terms

By placing an order with us, you agree to be bound by these Terms. No other terms proposed by the Customer shall apply unless expressly agreed to in writing by the Seller.

2. Products and Services

We will supply the products and/or services described in our quotation, order

confirmation, invoice, website, or other sales documentation.

We reserve the right to modify, discontinue, or update products and services at any time without prior notice.

3. Orders

All orders are subject to acceptance by the Seller.

We reserve the right to:

- Refuse any order;

- Limit quantities;

- Cancel orders where pricing, availability, or other errors have occurred.

An order is considered accepted when we issue an order confirmation or begin

fulfillment.

4. Pricing

All prices are stated in GBP unless otherwise specified.

Prices:

- Exclude applicable taxes unless stated otherwise;

- Exclude shipping, handling, customs duties, and similar charges unless stated

otherwise.

We reserve the right to correct pricing errors at any time.

5. Payment Terms

Payment shall be made by the methods specified at checkout or on the invoice.

Unless otherwise agreed:

- Payment is due upon order placement.

- Late payments may incur interest at the maximum rate permitted by law.

- The Customer is responsible for reasonable collection costs incurred by the Seller.

6. Delivery

Delivery dates are estimates only and are not guaranteed.

Risk of loss or damage passes to the Customer upon delivery to the Customer or designated carrier.

The Seller shall not be liable for delays caused by:

- Shipping carriers;

- Supply chain disruptions;

- Force majeure events;

- Circumstances beyond the Seller's reasonable control.

7. Inspection and Acceptance

The Customer shall inspect products promptly upon receipt.

Any claims for shortages, defects, or incorrect deliveries must be submitted in writing within 7 days of delivery.

Failure to notify us within this period constitutes acceptance of the products.

8. Returns and Refunds

Returns are subject to our Return Policy.

Unless prohibited by law:

- Returned products must be unused and in original condition.

- Return authorization may be required.

- Shipping costs are non-refundable unless the return results from our error.

Refunds, if approved, will be processed using the original payment method.

9. Warranties

The Seller warrants that products will substantially conform to their specifications at the time of delivery.

Except as expressly stated herein, all warranties, whether express or implied, including warranties of merchantability and fitness for a particular purpose, are disclaimed to the fullest extent permitted by law.

10. Limitation of Liability

To the maximum extent permitted by law:

- The Seller shall not be liable for indirect, incidental, special, consequential, or punitive damages.

- The Seller's total liability arising from any claim shall not exceed the amount paid by the Customer for the relevant product or service.

11. Intellectual Property

All intellectual property rights relating to our products, services, website, content,

trademarks, logos, and materials remain the exclusive property of the Seller or its

licensors.

No rights are transferred except as expressly stated.

12. Force Majeure

The Seller shall not be liable for any failure or delay in performance caused by events

beyond its reasonable control, including:

- Natural disasters;

- Government actions;

- Labor disputes;

- Utility failures;

- Supply shortages;

- Transportation disruptions;

- Internet or telecommunications failures.

13. Compliance with Laws

The Customer shall comply with all applicable laws, regulations, and governmental requirements relating to the purchase, use, and resale of products and services.

14. Termination and Cancellation

We may cancel or suspend an order if:

- Payment is not received;

- The Customer breaches these Terms;

- Fraudulent or unlawful activity is suspected.

Any accrued rights and obligations shall survive termination.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of United Kingdom without regard to conflict of law principles.

16. Dispute Resolution

Any dispute arising from these Terms shall first be addressed through good-faith negotiations.

If unresolved, disputes shall be submitted to the courts located in United Kingdom,

unless otherwise required by applicable law.

17. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms constitute the entire agreement between the parties regarding the sale of products and services and supersede all prior agreements and understandings.

ADDITIONAL CLAUSES FOR TJW DESIGNS

Design Services

Where TJW Designs provides design, planning, space planning, consultancy,

specification, or project management services, all drawings, concepts, plans, and specifications remain the intellectual property of TJW Designs until paid for in full.

Design concepts and drawings may not be reproduced, copied, shared, or used by the Client without prior written consent.

Site Surveys and Measurements

Where measurements are provided by the Client, TJW Designs accepts no responsibility for inaccuracies arising from such measurements.

Where TJW Designs conducts a site survey, the Client shall ensure safe and unrestricted access to the premises.

Any additional costs arising from inaccurate information supplied by the Client may be charged separately.

Bespoke and Made-to-Order Products

Furniture or products manufactured, customised, upholstered, finished, or otherwise modified to the Client's specifications are non-refundable and may not be cancelled once production has commenced.

Any amendments requested after production has begun may result in additional charges and revised delivery times.

Installation Services

The Client shall ensure that installation areas are accessible, clear of obstructions, and ready for installation works.

TJW Designs reserves the right to charge for aborted visits, delays, waiting time, or additional labour resulting from site conditions beyond its control.

The Client is responsible for obtaining any necessary permissions, landlord approvals, building approvals, or access arrangements required for installation.

Retention of Title

Ownership of all goods supplied shall remain with TJW Designs until payment has been received in full.

Until ownership passes, the Client shall store the goods separately and maintain them in satisfactory condition.

TJW Designs reserves the right to recover goods for which payment remains outstanding.

Commercial Orders

Unless otherwise agreed in writing, quotations remain valid for 30 days from the date of issue.

Orders may not be cancelled after acceptance without the written consent of TJW Designs. Cancellation charges may apply to recover costs incurred.

Payment Terms

For commercial projects, TJW Designs may require:

- A deposit prior to commencement;

- Stage payments during the project; and/or

- Final payment upon completion or prior to delivery.

Specific payment schedules will be detailed within the quotation or project agreement.

Limitation of Liability

Nothing within these Terms shall limit or exclude liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any liability that cannot be excluded under English law.

Subject to the above, TJW Designs' total liability shall not exceed the value of the

relevant contract.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of

England and Wales.

The courts of England and Wales shall have exclusive jurisdiction to hear any dispute arising from these Terms.
